BYLAWS
ARTICLE I - Name
The name of the organization shall be "Clan Wardlaw Association".

ARTICLE II - Mission Statement
The purpose of the Clan Wardlaw Association will be to promote interest in the Clan and its history and heritage, and to gather all of the name Wardlaw, descendants of the family Wardlaw, or those who have interest in the name Wardlaw, into a common bond of kinship and to share information to hand down to our posterity.

ARTICLE III - Membership
Membership is open to any persons who bear the surname Wardlaw or descend from Wardlaw or any other persons who relate indirectly to Wardlaw or who have an interest in the Wardlaw name and the Clan association. The organization does not discriminate with regard to race, religion, sex, nationality or ethnic origin.

ARTICLE IV - Membership Annual Fees
Membership dues are $20 per year. The membership year shall begin on the first day of January of each year. Our fiscal year corresponds to the calendar year. (This article was amended in 2010. See Home Page)

ARTICLE V - Board
The Board shall consist of:
President, Vice-President, Secretary, Treasurer. Term of office shall be two years. The Board shall appoint from the general membership to fill unexpired terms. They may also appoint other ad hoc positions or committees as needed.

ARTICLE VI - Meetings
The Board shall conduct the regular business of the organization. The Board shall meet quarterly, and more often if needed. Election of officers shall be in January. The Board meetings may be held by electronic means, or by telephone conference call. A quorum for conducting the business of the Board shall be not less than three members of the Board. Minutes of the meetings shall be announced to the membership through the email Newsletters and also posted on the Clan Wardlaw web site.

ARTICLE VII - Funds
Funds will be maintained in an interest-bearing bank account and administered by the Treasurer.

ARTICLE VIII - Amendments
Amendments to the bylaws may be proposed by the Board or the members in good standing and voted on by the Board.

ARTICLE IX - Dissolution of the Association
Dissolution of the Association may be necessary at some time. Dissolution will only be tendered at the annual meeting in January. A 3/4 majority vote of the board will be necessary for dissolution. In the event of dissolution all monies in the Association will be awarded to a non-profit 501(c)(3) charitable entity.

ARTICLE X - Bylaws
The Bylaws shall be the working rules of the organization.
